SERVICES DESCRIPTION
Passteam Corp.
This Services Description (“Services Description”) describes the cloud-based software-as-a-service offerings provided by Passteam Corp. (“Passteam,” “Provider,” or “we”) under the Passteam Master Subscription Agreement(“Agreement”).
This Services Description is incorporated into the Agreement by reference. Capitalized terms not defined herein have the meanings set forth in the Agreement.
1. OVERVIEW
The Services consist of a cloud-based customer engagement and loyalty platform that enables Customer to establish, manage, and maintain a direct digital communication channel with its end customers through mobile wallets, messaging, and related engagement tools.
The Services are provided on a subscription basis and accessed via the internet.
2. DIGITAL WALLET LOYALTY CARDS
The Services may include functionality for the creation, issuance, and management of branded digital loyalty cards compatible with:
- Apple Wallet
- Google Wallet
Wallet-related functionality may include:
- creation and configuration of wallet card templates;
- distribution of wallet cards to end users via links, QR codes, or integrated flows;
- wallet card lifecycle management, including activation, updates, suspension, and deactivation;
- display of dynamic card fields such as loyalty status, identifiers, balances, or informational content;
- support for multiple locations, brands, or dealer entities, as enabled in the applicable Order Form.
Passteam does not control and is not responsible for the availability, performance, or policies of Apple Wallet or Google Wallet platforms.
3. CUSTOMER DATA MANAGEMENT
The Services may include tools to collect, store, and manage non-sensitive customer data provided by Customer or its end users, including:
- creation and management of customer profiles;
- storage of identifiers and engagement attributes;
- association of customer profiles with wallet cards and messaging activity;
- segmentation of customer data based on defined criteria.
The Services are not designed to process sensitive or regulated personal data.
4. MESSAGING AND ENGAGEMENT TOOLS
The Services may include tools that enable Customer to configure and manage customer communications.
4.1 PUSH NOTIFICATIONS
Push notifications delivered via Apple Wallet and Google Wallet, including:
- configuration of notification content, triggers, and scheduling;
- delivery status and engagement tracking.
4.2 SMS MESSAGING
SMS messaging enabled through third-party messaging providers, including Twilio, which may include:
- campaign-based and transactional messaging capabilities;
- delivery status reporting and engagement metrics.
Passteam supplies technical infrastructure for message delivery but does not determine message content, recipients, timing, or legal compliance requirements.
5. CONSENT COLLECTION AND PREFERENCE MANAGEMENT
The Services may include tools, forms, templates, or interfaces that enable Customer to:
- collect end-user opt-in consents for messaging and communications;
- record consent metadata such as timestamp, source, and method;
- manage opt-in and opt-out indicators associated with customer profiles.
Customer remains solely responsible for determining consent requirements and complying with applicable laws.
6. CAMPAIGNS, AUTOMATION, AND TRIGGERS
The Services may support configuration of campaigns and automated engagement flows, including:
- trigger-based communications based on defined events or customer attributes;
- scheduled or rule-based messaging;
- support for service reminders, promotions, announcements, and transactional notifications.
Automation capabilities may vary based on subscription tier or applicable Order Form.
7. ANALYTICS AND REPORTING
The Services may include dashboards and reporting tools providing insights related to:
- wallet card installations and lifecycle events;
- messaging delivery status and engagement metrics;
- aggregate and anonymized usage statistics;
- trends related to customer engagement and activity.
Reports may be available through the platform interface or exportable in supported formats.
8. INTEGRATIONS AND APIS
The Services may include application programming interfaces (APIs) or other integration mechanisms enabling Customer to:
- import or export data to and from Customer systems;
- integrate the Services with third-party platforms or internal applications;
- enable data synchronization where technically supported.
Integration availability and scope may depend on technical feasibility and the applicable subscription tier.
9. ADMINISTRATION AND ACCESS MANAGEMENT
The Services may include administrative tools allowing Customer to:
- manage user access and roles;
- configure permissions and account settings;
- monitor platform usage.
Customer is responsible for maintaining the confidentiality and security of its access credentials.
10. PLATFORM EVOLUTION
The Services are designed to evolve over time. Passteam may add, modify, or remove features or functionality, provided that such changes do not materially reduce the overall functionality of the Services during an active subscription term.
11. SERVICE LIMITATIONS
The Services:
- are not intended to process sensitive or regulated personal data;
- do not include payment processing;
- do not include legal, regulatory, or compliance advisory services;
- depend on the availability and performance of third-party platforms outside Passteam’s control.
12. FEATURE AVAILABILITY
Not all features described in this Services Description are available to all Customers. The specific features, usage limits, and service tiers applicable to Customer are set forth in the applicable Order Form.
13. RELATIONSHIP TO SERVICE LEVEL AGREEMENT
Service availability commitments applicable to the Services are set forth exclusively in Passteam’s Service Level Agreement. This Services Description does not create additional service level guarantees beyond those expressly stated in the SLA.
